1. Introduction

Welcome to Ethiveste. These Terms and Conditions govern your use of our website and services. By accessing or using our services, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services.

2. Definitions

"Ethiveste" refers to the investment advisory services provided by us as an independent advisory firm.
"Client" refers to any individual or entity that engages our services.
"Services" refers to investment advisory and management services provided by Ethiveste.

3. Regulatory Compliance

Ethiveste complies with the regulations set forth by the Securities and Commodities Authority (SCA) in the United Arab Emirates and the Securities and Exchange Commission (SEC) in the United States, as applicable to the services provided.

In the UAE, Ethiveste adheres to SCA Board Resolution No. (1/R) of 2017 concerning the Regulations of Investment Management and associated amendments. In the US, Ethiveste complies with the Investment Advisers Act of 1940 and its amendments.

4. Services

Ethiveste provides investment advisory services including but not limited to:

• Investment opportunity assessment and due diligence
• Risk analysis and mitigation strategies
• Ethical investment screening
• Investment portfolio recommendations
• Ongoing investment monitoring and reporting

The specific services provided will be detailed in a separate Investment Advisory Agreement between Ethiveste and the Client.

5. Fiduciary Duty

Ethiveste acknowledges its fiduciary duty to Clients and commits to acting in the Client's best interest at all times. This includes providing unbiased advice, disclosing any conflicts of interest, and maintaining the confidentiality of Client information.

6. Fees and Compensation

Fees for services will be clearly outlined in the Investment Advisory Agreement. Ethiveste may charge advisory fees based on a percentage of assets under management, fixed fees, or hourly rates, depending on the services provided.

All fees will be disclosed in advance, and Clients will receive itemized invoices detailing the services provided and fees charged.

7. Risk Disclosure

All investments involve risk, including the potential loss of principal. Past performance is not indicative of future results. Clients should carefully consider their investment objectives, risks, charges, and expenses before investing.

Ethiveste will provide Clients with appropriate risk disclosures for specific investment recommendations, but the final investment decision rests with the Client.

8. Limitation of Liability

To the maximum extent permitted by law, Ethiveste shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages resulting from the use or inability to use the services or for any other claim related in any way to the Client's use of the services.

This limitation applies to damages or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft, or destruction or unauthorized access to, alteration of, or use of record.

9. Termination

Either party may terminate the advisory relationship with written notice as specified in the Investment Advisory Agreement. Upon termination, any prepaid, unearned fees will be promptly refunded, and any earned, unpaid fees will be due and payable.

10. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction specified in the Investment Advisory Agreement, without regard to its conflict of law provisions.

For Clients based in the UAE, the laws of the United Arab Emirates shall apply. For Clients based in the US, the laws of the applicable state jurisdiction shall apply.

11. Dispute Resolution

Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good faith negotiation. If the dispute cannot be resolved through negotiation, it shall be submitted to mediation in accordance with the rules of the jurisdiction specified in the Investment Advisory Agreement.

12. Amendments

Ethiveste reserves the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after any such changes constitutes your consent to such changes.
